Articles 14-20 of articles of Association of Orchid of Gutian County

Chapter IV formation and removal of organizational structures and responsible persons

Article 14 the highest authority of the association is the general assembly. The functions and powers of the general meeting are:

㈠, formulation and revision of articles of association

㈡, election and removal of directors

㈢, consideration of the work report and financial report of the Council

㈣, decision on termination

㈤, commendation, reward

㈥, make decisions on other important matters.

Article 15 A general meeting can only be convened with 1/2 of the members present, and the resolution of the general meeting must be passed by more than half of the members present before it can take effect.

Article 16 the term of office of the General Assembly shall be 4 years. If it is necessary to advance or postpone the term of office due to special circumstances, it shall be voted and approved by the council, submitted to the business affiliated unit for examination and approved by the association registration authority. However, the extension of the term of office shall not exceed one year at most.

Article 17 the council is the executive body of the general assembly, which leads the association to carry out its daily work during the intersessional period and is responsible to the general meeting.

Article 18 the functions and powers of the Council are as follows:

㈠, implementing the resolutions of the General Assembly

㈡, election and removal of President, Vice-President and Secretary-General; acceptance and decision of the resignation of President, Vice-President, Secretary-General and Deputy Secretary-General

㈢, prepare for the general meeting

㈣, report the work and financial status to the members' Congress

㈤, decide on the admission or delisting of members

㈥, decide to set up offices, branches, representative offices and implementing agencies

㈦, decides on the appointment of the Deputy Secretary-General and the principal persons in charge of various agencies

㈧, lead the work of various institutions of the association

㈨, formulate internal management system

㈩, make decisions on other important matters.

Article 19 the board of directors shall be convened only if more than 2x3 members are present, and its resolution shall take effect only through the vote of the members present at the meeting.

Article 20 the board of governors shall meet at least once a year, and may, under special circumstances, convene by means of communication. If the director fails to participate in the activities organized by the association for no reason and fails to perform the obligations of the director for more than half a year, he shall be deemed to have resigned voluntarily.
